1. Services Provided
Gernx IT specializes in senior-level WordPress development. Our services include, but are not limited to:
- Custom WordPress theme and plugin development.
- WooCommerce setup and customization.
- Website redesigns and Elementor-based development.
- WordPress performance optimization and security enhancements.
The specific scope of work, timeline, and deliverables for any project will be outlined in a separate, mutually agreed-upon project proposal or invoice.
2. Client Responsibilities
To ensure the timely delivery of your project, you agree to:
- Provide all necessary materials (text, images, branding assets) promptly.
- Grant us the necessary access to your hosting environment, domain registrar, and WordPress dashboard.
- Respond to requests for feedback or approval within a reasonable timeframe. Delays in client feedback may result in project timeline extensions.
3. Payment Terms
- Deposits: A non-refundable upfront deposit (typically 50%, unless otherwise specified in your proposal) is required before any development work begins.
- Final Payment: The remaining balance must be paid in full upon project completion, prior to the website being launched on your live server or the final code being handed over.
- Late Payments: Failure to clear outstanding invoices may result in the suspension of services or the withholding of deliverables.
4. Intellectual Property and Ownership
- Custom Development: Upon final payment, you will own the rights to the custom design and specific code written explicitly for your project.
- Pre-existing Code & Premium Plugins: Gernx IT retains full ownership of any proprietary code, pre-existing frameworks, or our own public plugins (e.g., Arik Product Fields, Arik Dynamic Table) used in your project. You are granted a license to use these on your website.
- Third-Party Assets: Any premium third-party themes, plugins, or stock images used remain the property of their respective creators and are subject to their specific licensing terms.
5. Revisions and Maintenance
Project proposals include a specified number of revision rounds during the development phase. Once the project is signed off and launched, any further changes, additions, or technical maintenance will be billed at our standard hourly rate or require a separate maintenance agreement.
6. Limitation of Liability
Gernx IT builds modern, fast, and secure websites following industry best practices. However, we cannot guarantee that the website will be completely immune to future security breaches, third-party plugin conflicts, or server downtime.
In no event shall Gernx IT be held liable for any indirect, incidental, or consequential damages—including loss of revenue, data, or business opportunities—arising from the use or inability to use our services or deliverables.
7. Termination
Either party may terminate a project with written notice. If you choose to cancel a project before completion, the initial deposit is forfeited. You will also be invoiced for any work completed beyond the scope covered by the deposit up to the date of cancellation.
8. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of Bangladesh. Any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of Bangladesh. However, we always strive to resolve any disagreements amicably through direct communication.
